These Terms and Conditions (“Terms”) govern your access to and use of the website, e-commerce storefront, online interfaces, and related services operated by Sound by Samuelson LLC d/b/a Sound by Samuelson (“Sound by Samuelson,” “we,” “us,” “our”). By accessing the website, creating an account, or purchasing a product, you agree to be bound by these Terms.

1. OWNERSHIP & INTELLECTUAL PROPERTY

All website content—including designs, photos, videos, 3D renderings, artwork, layouts, software, text, audio technology, and trademarks—is exclusively owned by Sound by Samuelson LLC or its licensors. You receive a limited personal license to access the site. You may not copy, reproduce, modify, distribute, or create derivative works without written authorization. If you breach this restriction, you may be subject to prosecution and damages.

You acknowledge and agree that by accessing or using the services contained in this Website, you are indicating that you have read, understand, and agree to be bound by the Terms herein.

2. ACCOUNT REGISTRATION & SECURITY

You agree to provide accurate information, maintain confidentiality of credentials, and accept responsibility for all activity on your account. You will not sell, transfer, or assign your account or any account rights. We may suspend or terminate accounts for violations or security risks.

3. PRODUCT INFORMATION & CUSTOM MANUFACTURING

All Sound by Samuelson products are built-to-order. Variations in grain, color, texture, stitching, finishing, acoustics, and natural materials are expected and not defects. All renderings are approximations. Production lead times are estimates only.

4. PRICING, PAYMENT & TAXES

You authorize Sound by Samuelson LLC to charge your payment method for the full purchase price, taxes, freight, delivery fees, and surcharges. We are not responsible for third‑party payment processor delays or errors.

 

5. ALL SALES FINAL — NO CANCELLATIONS, RETURNS, OR REFUNDS

Because products are custom‑manufactured, all sales are final. No cancellations, returns, or refunds will be accepted except where required by New Jersey law or under our Limited Warranty as provided below.

6. SHIPPING, DELIVERY & RISK OF LOSS

White‑glove freight carriers deliver all products. You must ensure adequate access. Risk of loss transfers once the product is tendered to the carrier. Visible freight damage must be noted at delivery; hidden damage must be reported within 48 hours with photos.

7. LIMITED WARRANTY

Purchases are governed by the Sound by Samuelson LLC Limited Warranty, incorporated by reference. Except as required by law, all implied warranties, as provided below, are disclaimed

8. WEBSITE DISCLAIMERS

The site is provided “AS IS” and “AS AVAILABLE,” without guarantees regarding uptime, accuracy, or compatibility. You assume risk of using the site. To the fullest extent permissible by applicable law, Sound by Samuelson LLC, its officers, members, directors, employees, parents, affiliates, successors or assigns hereby disclaim and make no representations, warranties, or promises, express or implied, in connection with or directly or indirectly related to the services provided herein.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Sound by Samuelson LLC, its officers, members, directors, employees, parents, affiliates, successor or assigns shall not be liable for indirect, incidental, consequential, punitive, or special damages or any other damages arising in connection with, or otherwise directly or indirectly related to, without limitation, the Sound by Samuelson LLC products or services. In no event will Sound by Samuelson’s total liability to you, for all possible damages, losses and causes of action in connection with your purchase of any Sound by Samuelson LLC products, exceed an amount equal to the purchase price of such products

10. PROHIBITED USES

You may not scrape, mine data, upload malicious code, interfere with network security, reverse-engineer software, attempt unauthorized access, or use automated systems without permission.

 

11. PRIVACY POLICY

Use of the site is subject to our Privacy Policy, as set forth below.

12. GOVERNING LAW

These Terms are governed exclusively by the laws of the State of New Jersey, without regard to its conflict of law provisions.  You consent to the personal jurisdiction of any state or federal court located within the State of New Jersey and waive any objection to and agree not to assert any defense based on jurisdiction or venue.

13. MANDATORY ARBITRATION (AAA) & CLASS-ACTION WAIVER

All disputes arising out of these Terms, the website, or any purchase will be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will occur in New Jersey. No class, collective, or representative actions are permitted. Arbitration obligations survive termination, cancellation, or fulfillment. If the class-action waiver is deemed unenforceable, the arbitration clause is void.

14. MODIFICATIONS

We may update these Terms at any time by posting revised terms on the website. You are responsible for regularly reviewing these Terms. Continued use of this website after any such changes will constitute your consent to such changes.

15.  INDEMNITY

As permitted by applicable law, you agree to, defend, indemnify and hold Sound by Samuelson LLC,  its officers, members, directors, employees, parents, affiliates, successor or assigns harmless from and against any and all claims, damages, losses, costs, investigations, liabilities, judgments, fines, penalties, settlements, interest, and expenses (including attorneys' fees) arising in any way from your use of the services hereunder or related to any violations of these Terms.

16. SEVERABILITY

If any provision of these Terms is found invalid, the remainder remains enforceable.

17. NO WAIVER

Our failure or delay to exercise or enforce any right, remedy, or provision of these Terms or any other legal right will not operate as a waiver of such or any other right, remedy, or provision.

 

18. FORCE MAJEURE. 

We will not be liable to you for failing to fulfill our obligations under or arising out of these Terms or any applicable laws or regulations because of any event beyond our reasonable control, including but not limited to strikes, labor disturbances, material shortages, non-manufacturing conditions, delays or failures of carriers or communications, epidemics, fire, flood, storms, accident, riot, war and invasion, governmental requisition or priorities, acts of god, or other causes beyond our reasonable control.

19. ENTIRE AGREEMENT.

 Except for any additional terms as we may notify or make available to you, this is the entire understanding between you and us regarding the use of our website services.
